Sign 3-Year Agreement

Pioneering Partners Take Lessons to Next Level

(BALTIMORE, MD - April 4, 2002)  Prometric, a part of The Thomson Corporation, and Educational Testing Service (ETS) today announced a new three-year exclusive contractual agreement. The renewed alliance covers the International (non-U.S.-based) computerized delivery of the academic world's best known examinations, including the Test of English as a Foreign Language (TOEFL) the Graduate Record Examinations (GRE), and the Graduate Management Admission Test (GMAT).

The contract represents the farthest-reaching computer-based testing agreement between the industry's oldest business alliance.

Prometric President and Chief Executive Officer, Michael Brannick shared the following comments about the newly negotiated agreement:

"Prometric is pleased with the continued relationship, the renewed contractual agreement and the joint vision for the future of computer-based testing that helps individuals to realize their academic, professional and personal aspirations.

"The renewed agreement further solidifies ETS' and Prometric's long-standing relationship that helped globalize computer-based testing. The alliance dates back to 1992, when computer-based testing was in infancy. Prometric remains focused on delivering the most effective and efficient test delivery service to ETS' testing candidates around the world.

"Further, the agreement allows Prometric to reallocate its resources in support of its own unique business goals and objectives that include continued global expansion in support of our client's testing programs.

"This new agreement employs a hybrid testing model - computer- and pencil-and-paper-based - that allows candidates to select a testing method based on their location.

"To that end, 84 low-volume testing centers that operated only a few hours a month will close over the next 12 months. Prometric operated these sites on behalf of ETS. In every case, the selected sites had extremely low testing volumes.

"With more than 4,800 testing centers, Prometric remains the global leader in test delivery services.
